Founder Programme Terms
Effective Date: 6 November 2026 Last Updated: 6 November 2026 Version: 1.2
1. Status of These Terms
1.1. These Founder Programme Terms (the "Programme Terms") govern the "Prime Calendar Founder Programme" (the "Programme") operated by Péter Cselőtei (Prime Calendar) (the "Operator", "we", "us", "our"). They supplement, and must be read together with, the Terms of Service, the Refund Policy and the Privacy Policy. Capitalised terms not defined here bear the meanings given to them in the Terms of Service.
1.2. By submitting an application to the Programme, you confirm that you have read, understood and accepted these Programme Terms in their entirety. If you do not agree to them, do not submit an application.
1.3. The Programme is a discretionary, promotional offer. It is not a purchased entitlement, a Subscription, or a term of any Subscription you may separately hold. No part of the Programme forms consideration for any payment, and Section 5.5 of the Refund Policy (no refund in respect of any promotional grant) applies to it in full.
2. Definitions
- "Participant" means a natural person whose application to the Programme has been accepted by the Operator.
- "Tier" means either of the two levels of the Programme: "First Founder" or "Founder", as described in Section 4.
- "Plan" means the specific paid Prime Calendar subscription plan (User, Family, or Store) a Participant holds at the time a Coupon is issued.
- "Coupon" means the percentage discount described in Section 7, issued by the Operator to a Participant's Plan.
- "Feedback" means the private communication described in Section 9.
3. Eligibility and How to Apply
3.1. Anyone may apply through the form on the early-access page. Applying requires an email address, a description of the problem you would use Prime Calendar for, and the Plan you intend to subscribe to. Applying does not require an existing Prime Calendar account.
3.2. Submitting an application does not guarantee a place in the Programme. The Operator reviews applications personally and accepts or declines them at its reasonable discretion, without obligation to give reasons. There is no fee to apply.
3.3. The Free plan remains free for everyone, with or without the Programme, and is not itself a basis for eligibility. See Section 7.4.
4. Tiers, Seats and the Cap of 50
4.1. The Programme has two Tiers, each capped at fifty (50) seats:
| Tier | Feedback required | Coupon |
|---|---|---|
| First Founder | Two submissions of Feedback: within 30 and within 60 days of the Activation Date (Section 10) | 70% |
| Founder | One submission of Feedback: within 30 days of the Activation Date (Section 10) | 50% |
4.2. The 50-seat cap per Tier is a real, literal limit, not a marketing figure. The Operator maintains a dated internal record of accepted Participants per Tier from the first acceptance onward. Once a Tier is full, the Operator will decline further applications to that Tier; an applicant may still apply to, or be offered, the other Tier where a seat remains.
4.3. The Programme's pages do not display a live or real-time count of remaining seats, because none is maintained as a public-facing figure. Any statement of capacity on the Programme's pages describes the total structure of the Programme, not the number of seats remaining at any given moment.
4.4. The Operator may close the Programme to new applications at any time, including before either Tier is full, in accordance with Section 15.
5. Application Review, Acceptance and Seat Reservation
5.1. If an application is accepted, the Operator will notify the applicant by email and reserve a seat in the applicable Tier.
5.2. The reserved seat is held for sixty (60) days from the date of acceptance, during which the applicant may subscribe to the Plan stated in their application (or another paid Plan, by informing the Operator). If no paid Plan subscription is in place at the end of that period, the reservation lapses automatically and the seat becomes available to another applicant, without notice or compensation.
5.3. An applicant who has not yet subscribed to a paid Plan when they apply is eligible on this basis: their place is provisional until they subscribe, per Section 5.2.
6. Subscribing and Coupon Issuance
6.1. After acceptance, the Operator sends the Participant a Founder coupon code. The Participant redeems it directly in the Paddle checkout when subscribing to a paid Plan, so the 70% (First Founder) or 50% (Founder) discount applies from the first payment. The Participant never has to pay the full price first and then wait for a manually issued coupon.
6.2. The "Activation Date" is the date on which the Participant's paid subscription is first activated with the Coupon applied. All Feedback deadlines in Section 10 run from the Activation Date.
6.3. All prices exclude VAT. Applicable local VAT/Sales Tax is calculated and added at checkout. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our SaaS subscription orders.
7. The Discount: Scope, Non-Transferability and the Free Plan
7.1. The Coupon reduces the recurring price of the specific Plan to which it was issued, for as long as this Section and Section 8 ("Lifetime") continue to apply.
7.2. Plan Upgrades and Billing Cycle Changes: Your First Founder (70%) or Founder (50%) discount is fully portable across all standard Prime Calendar subscription tiers (User, Family, and Store) and billing intervals (Monthly and Annual). If you start on the User plan and later upgrade to the Family or Store plan, or switch from monthly to annual billing, your percentage discount will automatically carry over and apply to the new plan's standard list price.
7.3. The Coupon is personal to the Participant's account and may not be transferred, sold, shared, or assigned to any other person or account.
7.4. The Free plan is, and will remain, free for every user regardless of the Programme. Because a percentage discount on a price of zero has no effect, the Coupon cannot be issued to, or exercised on, the Free plan. An applicant heading for the Free plan may still apply and hold a reserved seat under Section 5, but the Coupon is issued only once, and for as long as, they hold a paid Plan.
7.5. The Operator reserves the right to impose a reasonable value cap on the discount where a Plan's list price changes materially after issuance, and will notify affected Participants before any such cap takes effect.
7.6. Monthly and annual billing. The Coupon applies to both billing cycles of every paid Plan, calculated as a percentage reduction of that Plan's list price (monthly: User €4, Family €12, Store €29; annual: User €40, Family €99, Store €299; all excluding VAT). A Coupon issued before 6 November 2026 is not affected by this Section and continues on the terms in effect when it was issued (see Section 15.2).
8. Meaning of "Lifetime"
8.1. Programme and marketing materials describe the Coupon as a "lifetime" discount. This means: for as long as the Participant maintains an active, continuously paid subscription to the specific Plan for which the Coupon was issued, without cancellation, lapse, or a sustained payment failure.
8.2. "Lifetime" does not mean unconditional or irrevocable. It ends if:
- (a) the Participant cancels or allows the underlying Plan subscription to lapse (re-subscribing later does not automatically restore the Coupon);
- (b) the Coupon is withdrawn under Section 12 for non-delivery of Feedback; or
- (c) the Coupon is revoked for abuse, fraud, or a material breach of these Programme Terms or the Terms of Service.
8.3. "Lifetime" does not extend beyond the Operator's own continued operation of Prime Calendar as a paid product. If the Operator discontinues the Service in accordance with Section 12 of the Terms of Service, the Coupon ends with it, without compensation, on the same basis as any other Subscription.
8.4. Definition of "Lifetime Discount": The term "lifetime" refers strictly to the continuous, uninterrupted duration of the Participant's active paid subscription and the commercial operational lifetime of the Prime Calendar SaaS platform. If a Participant cancels their subscription, or if the subscription is terminated due to non-payment beyond the applicable grace period or failure to fulfill the mandatory feedback milestone (after the notice in Section 12), the Founder discount is permanently forfeited and cannot be reinstated upon future re-subscription.
9. Feedback Obligation
9.1. "Feedback" is private communication to the Operator about your experience using the Plan on which your Coupon is issued — for example, in the private Slack or Discord channel, by email, or on a call. It is used for product development. It is not a public review, and the Operator does not require or expect you to publish anything.
9.2. Feedback must be a genuine, good-faith account of your actual use of the Plan — for example, what worked, what didn't, and what you would change. A single-word or clearly non-substantive message does not satisfy this requirement, and the Operator will tell you if that happens and give you a reasonable opportunity to supplement it before treating the obligation as unmet.
9.3. The Operator will not unreasonably refuse to recognise genuine, substantive Feedback as satisfying this Section.
9.4. Objective Feedback Requirement & Voluntary Public Reviews: To retain the Founder discount, First Founders must submit two (2) structured product feedback reports (within 30 and 60 days of activation), and Founders must submit one (1) report (within 30 days). Eligibility to retain the discount depends solely on the timely submission of genuine, constructive feedback regarding product usage; it is strictly NOT conditioned on the feedback being positive or favorable. Following the completion of private feedback milestones, Participants may be invited to share their experience on public review platforms (such as G2, Capterra, Trustpilot, or Product Hunt). Posting a public review is 100% voluntary and is never a condition for receiving or retaining any Founder discount.
10. Deadlines
10.1. Founder Tier: one submission of Feedback is due within thirty (30) days of the Activation Date.
10.2. First Founder Tier: a first submission of Feedback is due within thirty (30) days of the Activation Date; a second submission is due within sixty (60) days of the Activation Date.
10.3. The Operator may extend a deadline at its discretion, including on request, and will confirm any extension in writing.
11. Partial Delivery of Feedback (First Founder Tier)
11.1. A First Founder who delivers the first submission of Feedback on time but does not deliver the second within the window in Section 10.2 does not lose the Coupon entirely. Instead, from the Participant's next billing cycle after the deadline, the Coupon is reduced from 70% to 50%, and the Participant is treated as a Founder-Tier Participant for all other purposes, including Section 12.
12. Withdrawal of the Discount for Non-Delivery
12.1. If a Participant delivers no Feedback at all within the applicable deadline in Section 10, the Operator will send a reminder and give the Participant fourteen (14) days' notice before taking any further action.
12.2. If Feedback is still not delivered after that notice period, the Coupon is withdrawn prospectively only, from the Participant's next billing cycle onward. The Operator will never charge, invoice, or otherwise seek retroactively the difference between the discounted and undiscounted price for any period during which the Coupon was already in effect.
12.3. Withdrawal under this Section does not entitle the Participant to a refund of any amount already paid, consistently with Section 5.5 of the Refund Policy.
13. Slack / Discord Access and Founder Calls
13.1. On acceptance, a Participant may indicate in their application that they would like (a) an invitation to the private Founder channel on Slack or Discord, through which they can contact the Operator directly, and/or (b) a link to book a fifteen-minute call with the Operator. The Programme's pages do not carry a public Slack or Discord invitation link; these are sent individually, by the Operator, after review.
13.2. Slack/Discord access and calls are provided on a reasonable-efforts basis and are not guaranteed to be instant. Meeting bookings are arranged through the channels the Operator makes available in Slack or Discord.
13.3. The Operator may remove a Participant from the Slack or Discord channel for conduct that would violate the Acceptable Use Policy in Section 11 of the Terms of Service if it occurred on the Service itself. Removal from Slack or Discord does not, by itself, affect an already-issued Coupon.
13.4. Slack/Discord access lasts one (1) year from the Activation Date. After that year, direct access through these channels ends; the Coupon is not affected by its expiry.
14. Feedback Ownership and Optional Public Use
14.1. Feedback is treated as feedback under Section 10.6 of the Terms of Service: it is provided voluntarily, and the Operator may use it, including to decide what to build next, without further compensation.
14.2. The Operator will not publish, quote, or attribute a Participant's Feedback publicly (for example, as a testimonial) without that Participant's separate, specific, prior consent. Declining such a request has no effect on the Participant's standing in the Programme or their Coupon.
14.3. Nothing in this Programme guarantees that any idea, request, or suggestion a Participant contributes will be built. The Operator reviews Founder Programme feedback personally and will build what is realistic and beneficial for the product as a whole, at its own discretion and on its own timeline.
15. Modification, Pause or Closure of the Programme
15.1. The Operator may modify these Programme Terms, pause new applications, or close the Programme entirely, at any time and for any reason, including once both Tiers reach their 50-seat cap.
15.2. Modifying, pausing, or closing the Programme does not affect a Coupon already issued to an existing Participant. An already-issued Coupon continues on the terms in effect when it was issued, subject only to Sections 8, 11 and 12.
15.3. Material changes to these Programme Terms that would affect an existing Participant's Coupon will be notified by email with reasonable advance notice, except where a change is required by law or is necessary to address fraud or abuse.
16. Interaction with Other Policies
16.1. Nothing in these Programme Terms limits or overrides the Terms of Service, the Refund Policy or the Privacy Policy. In case of a genuine conflict specific to the Programme, these Programme Terms govern for matters they expressly address; all other matters are governed by the Terms of Service.
16.2. In particular: fees and billing are handled through Paddle as described in Section 8 of the Terms of Service; a Coupon is a promotional grant to which no refund applies under Section 5.5 of the Refund Policy; and price changes to the underlying Plan may still occur under Section 9.4 of the Terms of Service, subject to the Coupon continuing to apply as a percentage reduction unless Section 7.5 applies.
17. Data Protection
17.1. To process an application, the Operator collects the information submitted in the application form: email address, an optional name, the stated problem, persona, current calendar tool, Tier and Plan preference, and the Slack/Discord and meeting opt-ins in Section 13.
17.2. This data is processed to evaluate the application, administer the Programme (including tracking Feedback deadlines and Coupon status), and, where selected, to arrange Slack/Discord access or a call. The lawful basis is the data subject's request to take steps prior to entering into a contract (Article 6(1)(b) GDPR) and, for ongoing Programme administration after acceptance, the Operator's legitimate interest in administering a Programme the Participant has joined (Article 6(1)(f) GDPR).
17.3. Applications that are not accepted are retained for six (6) months from the decision, then deleted. Data relating to an accepted Participant is retained for as long as a Coupon issued to them remains active, and for twenty-four (24) months thereafter, for record-keeping and to resolve any dispute about Coupon status.
17.4. Full detail on data handling, recipients, international transfers, and your rights is set out in the Privacy Policy, which applies to this Programme in full.
18. General Provisions
18.1. Governing law and jurisdiction. These Programme Terms are governed by the law, and subject to the jurisdiction, set out in Section 21 of the Terms of Service.
18.2. Entire agreement. These Programme Terms, together with the Terms of Service, the Refund Policy and the Privacy Policy, constitute the entire agreement between a Participant and the Operator regarding the Programme.
18.3. Severability. If any provision of these Programme Terms is held invalid or unenforceable, the remaining provisions continue in full force.
18.4. Language. These Programme Terms are published in English, Hungarian, German and French. Each language version is intended to carry the same meaning; if a genuine conflict is identified, please contact the Operator so it can be corrected, and until corrected the version most favourable to the Participant, as a consumer, will be applied.
18.5. Contact. Questions about the Programme or these Programme Terms can be sent to info@primecal.eu.
