Terms of Service

1. Acceptance of Terms

By accessing or using Prime Calendar (https://www.primecal.eu) ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Prime Calendar is a software-as-a-service (SaaS) platform providing calendar management, reservation, and scheduling tools. We reserve the right to modify, update, or discontinue the Service (or any part thereof) at any time, with or without notice.

3. Account Registration and Security

You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any local, national, or international laws or regulations.
  • Distribute spam, malicious scheduling requests, phishing links, or unauthorized promotional materials.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service's servers or networks.
  • Reverse engineer, decompile, or copy any part of the Prime Calendar software or underlying infrastructure.

5. User Content and Data

You retain all ownership rights to the schedule data, appointment details, and text you input into the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive license to host, process, and display your User Content strictly for the purpose of operating and providing the Service to you.

6. Third-Party Integrations

The Service allows you to connect third-party accounts (e.g., Outlook/Microsoft). By connecting these accounts, you grant us permission to access and process your calendar data as necessary to provide the Service. This data is handled in accordance with our Privacy Policy and is subject to the terms and conditions of the respective third-party providers.

7. Fees and Payment

Use of premium features requires the payment of subscription fees. All fees are non-refundable except as expressly required by law. We reserve the right to change our pricing upon providing thirty (30) days' notice. Continued use of the Service after the price change takes effect constitutes your agreement to pay the modified amount.

8. Intellectual Property

All rights, title, and interest in and to Prime Calendar, including its code, design, logos, and original content (excluding User Content), are and will remain the exclusive property of Prime Calendar and its licensors.

9. Termination

We may suspend or terminate your access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties.

10. Indemnification

You agree to defend, indemnify, and hold harmless Prime Calendar and its operators from any claims, damages, obligations, losses, or liabilities arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Limitation of Liability and Disclaimer of Warranties

Prime Calendar is provided on an "as is" and "as available" basis without any warranties of any kind. We do not guarantee that the Service will be uninterrupted or error-free. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to missed appointments, scheduling conflicts, lost profits, or data loss. In no event shall our total liability to you exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.

12. Language and Translation

These Terms of Service may be translated into multiple languages for convenience. In the event of any linguistic discrepancy, ambiguity, or dispute regarding interpretation, the English version of this document shall prevail and be legally binding.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14. Governing Law

These Terms shall be governed by the laws of Hungary and the European Union, without regard to conflict of law principles. Any legal actions or proceedings arising out of these Terms shall be brought exclusively in the courts located in Hungary.
