Refund Policy

Effective Date: 3 September 2026
Last Updated: 22 October 2026
Version: 1.2

1. Status of This Policy

1.1. This Refund Policy forms an integral and binding part of the Terms of Service of Péter Cselőtei (Prime Calendar) (the "Operator", "we", "us", "our") and must be read together with them. Capitalised terms not defined here bear the meanings given to them in the Terms of Service.

1.2. By completing a purchase you confirm that you have read, understood and accepted this Refund Policy in its entirety, including the express consent and acknowledgment recorded in Section 4.

1.3. This Refund Policy is drafted to be compatible with mandatory consumer protection law. Nothing in this Refund Policy excludes, restricts or derogates from any right that applicable mandatory law confers upon a consumer and that cannot lawfully be excluded by agreement (see Section 9).

2. Summary

Default positionNo refunds after the first 14 days. All sales are final once Paddle's 14-day refund guarantee (below) has expired.
Paddle's 14-day refund guaranteeGuaranteed. Paddle, as Merchant of Record, will refund any purchase on request within 14 days of the date of purchase, for any reason, regardless of the no-refunds default. See Section 3.4. This is separate from, and does not affect, the EU withdrawal right waived below.
WhyThe Service is digital, is made available immediately, and generates irreversible third-party costs from the first request.
Who charges you for Prime CalendarPaddle, as Merchant of Record — not Péter Cselőtei (Prime Calendar).
Can I cancel?Yes, at any time. Cancellation stops future charges. It does not refund charges already made.
14-day EU withdrawal rightExpressly waived at checkout for digital content supplied immediately, in accordance with Article 16(m) of Directive 2011/83/EU. Residual rules for digital services are set out in Section 5.3.
Statutory faultsAlways preserved. If the Service is not in conformity with the contract, your statutory remedies under Directive (EU) 2019/770 apply in full.

3. Merchant of Record — Paddle

3.1. All purchases of Subscriptions, plans, add-ons, credits and upgrades relating to the Service are transacted by Paddle acting as our authorised reseller and Merchant of Record. Paddle, not Péter Cselőtei (Prime Calendar), is the seller of record and the party that charges your payment method.

3.2. Consequently:

  • Every payment, refund, partial refund, credit, reversal and chargeback is executed by Paddle, and only Paddle can execute one. The Operator has no technical or contractual ability to debit or credit your payment method.
  • The Paddle Checkout Buyer Terms and Conditions, together with Paddle's own refund and dispute-handling policies, apply to the payment transaction and are incorporated into the Terms of Service by reference. You accept them at checkout.
  • Paddle retains an independent discretion, as Merchant of Record and as the regulated party responsible for the transaction, to approve or execute a refund in order to comply with applicable law, card scheme rules, payment network requirements, its own risk and compliance policies, or its own commercial judgement. Such a discretionary act by Paddle is not an admission of any obligation on the part of the Operator, does not constitute a waiver of this Refund Policy, does not create a precedent, and does not entitle any other customer to equivalent treatment.
  • Where Paddle executes a refund, the Operator will revoke the corresponding licence and access entitlement, in whole or pro rata, with immediate effect.

3.3. All billing enquiries, invoice corrections, tax queries, duplicate-charge reports and payment disputes must be raised with Paddle in the first instance, using the contact details shown on your invoice or purchase receipt. Enquiries concerning access, functionality or conformity of the Service should be raised with us at info@primecal.eu.

3.4. Paddle's independent fourteen (14) day refund guarantee. As a condition of acting as Merchant of Record, Paddle requires that every purchaser be entitled to a refund on request within fourteen (14) days of the date of purchase, for any reason, without the Operator's consent being required. Accordingly, notwithstanding Section 5 and any other provision of this Refund Policy, a refund request submitted to Paddle within that fourteen (14) day window will be honoured. This is a floor imposed by Paddle in its own capacity as the regulated Merchant of Record responsible for the transaction; it is contractual and commercial in nature, is separate from, and does not revive, extend or otherwise affect, the EU statutory right of withdrawal expressly waived under Section 4, and does not limit the residual pro-rata rules in Section 5.3 or the statutory conformity remedies in Section 7.1, which continue to apply independently, including beyond the fourteenth day. The exceptions in Section 7 apply in addition to, not instead of, this fourteen (14) day window.

3.5. Money you pay to a business that uses Prime Calendar. Sections 3.1 to 3.4 concern what you buy from us. They do not apply to money you pay to a business that uses Prime Calendar to take bookings. If you paid such a business for a booking, your contract is with that business, the payment was taken on that business's own connected Stripe account, and only that business can refund it. We are not the seller, we do not hold those funds, and we have no facility to refund them. Please contact the business directly.

4. Express Consent and Waiver of the Right of Withdrawal

This Section 4 is of critical importance and should be read carefully before purchase.

4.1. Nature of the supply. The Service consists of digital content and digital services which are not supplied on a tangible medium and which are made available to you immediately upon completion of purchase. There is no shipment, no physical delivery and no delay in provisioning.

4.2. Express request for immediate performance. By completing the checkout and activating the affirmative confirmation presented to you at that point, you expressly request and consent that performance of the contract shall begin immediately, during the fourteen (14) day withdrawal period, and before that period has expired.

4.3. Express acknowledgment of loss of the right of withdrawal. By the same affirmative confirmation, you expressly acknowledge that, upon commencement of performance, you thereby lose your right of withdrawal in respect of the digital content supplied, in accordance with Article 16(m) of Directive 2011/83/EU on consumer rights and the corresponding provision of the national law implementing that Directive in your Member State.

4.4. Form of the consent. The consent and the acknowledgment described in Sections 4.2 and 4.3 are obtained by means of a separate, unticked, mandatory affirmative action at checkout, distinct from your general acceptance of the Terms of Service. The purchase cannot be completed without it.

4.5. Confirmation on a durable medium. Following purchase you receive, on a durable medium and within a reasonable time, a confirmation of the concluded contract which records the content of that contract and expressly records the consent given under Section 4.2 and the acknowledgment given under Section 4.3, as required by Article 7(2) and Article 8(7) of Directive 2011/83/EU.

4.6. Effect. Where the conditions in Sections 4.2 to 4.5 are satisfied, the statutory fourteen (14) day right of withdrawal does not apply to the supply concerned, and no refund is due on the ground of withdrawal.

4.7. Non-consumers. Where you purchase in the course of a trade, business, craft or profession, you are not a consumer and no statutory right of withdrawal arises in the first place. This Section 4 is included for completeness only.

5. Default Policy: No Refunds

5.1. Subject to Sections 3.4, 6, 7 and 9, the Operator's default and standing policy is that all payments are final and non-refundable, in whole and in part, and that no refunds, credits, exchanges or pro-rata reimbursements are offered. This applies to initial purchases, renewals, upgrades, add-ons, credit packs and metered top-ups alike. Section 3.4 takes precedence over this Section 5 during the fourteen (14) days following purchase.

5.2. Rationale. This policy is not arbitrary. It reflects the following objective characteristics of the Service:

  • (a) Immediate and irrevocable supply. Access is granted in full at the moment of purchase. Digital content, once supplied, cannot be returned, recovered, un-consumed or restored to the Operator.
  • (b) Express waiver. You have expressly consented to immediate performance and expressly acknowledged the loss of your withdrawal right under Section 4.
  • (c) Immediate and irrecoverable upstream costs. The Service is a pass-through layer. From your very first request, the Operator incurs non-refundable, per-request charges from Upstream Providers, which are billed to the Operator on a consumption basis and are not reversible, creditable or recoverable by the Operator under any circumstances, including where you subsequently cease to use the Service. A refund to you would require the Operator to absorb a cost that has already been irretrievably paid to a third party.
  • (d) Free evaluation is available. Where a free tier, trial, demonstration or documented specification is made available, you have the opportunity to evaluate suitability before paying. You are expected to do so.

5.3. Residual pro-rata rules for digital services. To the extent that any element of the Service is properly characterised under applicable national law as a digital service rather than as digital content, and to the extent that a right of withdrawal is nevertheless held to subsist in respect of that element notwithstanding Section 4, then, in accordance with Article 14(3) of Directive 2011/83/EU, where you requested performance to begin during the withdrawal period, you shall pay the Operator an amount which is in proportion to what has been supplied to you up to the moment you communicate your withdrawal, by comparison with the full coverage of the contract. Any sum refundable in such a case is limited to the balance, and the Operator will additionally deduct the value of any usage, credits, tokens or requests actually consumed.

5.4. Matters that do not give rise to a refund. For the avoidance of all doubt, and to the maximum extent permitted by applicable law, no refund, credit or compensation of any kind is payable in any of the following circumstances:

  • non-use, under-use, forgetfulness, or a change of mind after purchase;
  • failure to cancel before an automatic renewal date;
  • dissatisfaction with the quality, accuracy, style, tone, format or usefulness of any Output, including AI-generated Output that is inaccurate, incomplete, biased, fabricated or hallucinated;
  • outage, downtime, degradation, latency, rate limiting, throttling, quota exhaustion or discontinuation affecting any Upstream Provider;
  • modification, deprecation, substitution, re-tiering or removal of any feature, model, integration or Upstream Provider by the Operator, as permitted by Section 12.3 of the Terms of Service;
  • price changes imposed by Upstream Providers and any consequential adjustment to entitlements or quotas;
  • incompatibility with your hardware, operating system, browser, network, corporate firewall or third-party software;
  • your inability to use the Service by reason of your own act, omission, connectivity, or lack of technical skill;
  • suspension or termination of your Account for breach of the Terms of Service or the Acceptable Use Policy;
  • suspension or termination required by sanctions, export controls, applicable law or the demand of an Upstream Provider;
  • a force majeure event as defined in Section 17 of the Terms of Service;
  • unused credits, tokens, allowances, seats or quota remaining at the end of a billing period; or
  • the purchase of a plan tier that, on reflection, exceeds your requirements.

5.5. Free tiers and trials. No refund arises in respect of any free tier, trial, promotional grant, complimentary credit or beta access, none of which involves consideration.

6. Cancellation Is Not a Refund

6.1. You may cancel your Subscription at any time, without giving reasons and without penalty, through your account settings or the subscription management link supplied by Paddle.

6.2. Cancellation prevents the next renewal charge. It does not refund, and does not entitle you to a refund of, any charge already incurred.

6.3. Following cancellation, your paid access continues until the end of the billing period for which you have already paid, and terminates at that point. You are not required to cancel at any particular time, but a cancellation submitted after a renewal has already been charged takes effect only for the following period.

6.4. We recommend that you cancel at least twenty-four (24) hours before your renewal date to allow for processing.

6.5. Upgrades, downgrades, seat changes and add-ons. A change of plan, tier, seat count or add-on during a billing period is given effect through Paddle and is subject to the proration Paddle applies at that time. A downgrade, or a reduction in the number of seats, does not give rise to a refund of an amount already charged for the current period; it takes effect for the following period save where Paddle's proration provides otherwise.

7. Limited Discretionary and Mandatory Exceptions

The Operator will, notwithstanding Section 5, support a refund request submitted to Paddle in the following circumstances. These exceptions are additional to, and do not limit, Paddle's fourteen (14) day refund guarantee in Section 3.4:

7.1. Non-conformity of the Service (statutory — not discretionary)

Where the Service is not in conformity with the contract within the meaning of Directive (EU) 2019/770 (or, in the United Kingdom, the Consumer Rights Act 2015), your statutory remedies apply in full and cannot be excluded by this Refund Policy. Those remedies are, in the order prescribed by that legislation:

  1. to have the Service brought into conformity within a reasonable time and without significant inconvenience; and
  2. where that is impossible, disproportionate, not effected within a reasonable time, or where the lack of conformity is serious, to a proportionate reduction of the price or to termination of the contract with a corresponding refund.

To invoke these rights, contact info@primecal.eu with a description of the defect and, where possible, evidence. We will investigate and respond substantively. A defect attributable to an Upstream Provider rather than to the Operator's own layer does not constitute a lack of conformity for which the Operator is responsible, in accordance with Sections 3 and 4 of the Terms of Service.

7.2. Technical non-delivery

Where a payment has been successfully taken by Paddle but, through fault attributable to the Operator's own systems, no access or entitlement was ever provisioned, and the failure is not remedied within a reasonable time after being reported, a full refund will be supported.

7.3. Duplicate or erroneous charges

Where you have been charged more than once for the same entitlement, or charged an amount manifestly inconsistent with the price displayed at checkout, the excess will be refunded. Report duplicate charges to Paddle in the first instance.

7.4. Unauthorised transactions

Where a charge results from verified unauthorised use of your payment instrument, the matter is handled by Paddle in accordance with applicable payment services legislation and card scheme rules. Report such transactions to Paddle and to your card issuer immediately.

7.5. Discontinuation of the Service by the Operator

Where the Operator permanently discontinues the Service in its entirety, or terminates your Subscription for convenience, while you hold an unexpired prepaid term, a pro-rata refund of the unused portion of the current billing period will be procured through Paddle, in accordance with Section 12.4 of the Terms of Service. This is the sole and exclusive remedy in that event.

7.6. Goodwill

Any refund granted outside Sections 7.1 to 7.5 is granted purely as a discretionary act of goodwill, without admission of liability or obligation, on a strictly one-off and without-prejudice basis, and creates no precedent, course of dealing, or entitlement for you or for any other customer.

7.7. Termination by the Operator without fault on your part

Where the Operator terminates your Subscription for a reason other than your breach, and other than the discontinuation addressed in Section 7.5, the Operator will request Paddle to refund the unused portion of the then-current billing period on a pro rata basis. No refund arises where access is suspended or terminated for breach of the Terms of Service or of the Acceptable Use Policy set out in Section 11 of those Terms.

8. Electronic Withdrawal Mechanism ("Withdrawal Button")

8.1. Availability. A consumer may submit a withdrawal declaration to the Operator by electronic means, in a straightforward manner, using the channel set out in Section 8.4. A dedicated in-application withdrawal function is being introduced; until it is available, that channel is the electronic withdrawal channel for the purposes of this Policy. The Operator records, in respect of every declaration so submitted:

  • the fact and content of the declaration;
  • the identity of the declaring consumer and the contract concerned; and
  • the date and time of submission.

Upon submission, the consumer receives, on a durable medium and without undue delay, an acknowledgment of receipt recording the content of the declaration and the date and time of its receipt.

8.2. Purpose. This mechanism is provided as a matter of policy and in anticipation of, and alignment with, the electronic withdrawal-function requirements being introduced across the European Union — including the withdrawal function inserted into Directive 2011/83/EU by Directive (EU) 2023/2673 (applicable from 19 June 2026 in respect of the contract types within its scope) — so that consumers are never obliged to use a more burdensome channel than the one by which they contracted.

8.3. Substantive effect — critical. The provision of an electronic withdrawal mechanism is procedural, not substantive. It provides a channel for communicating a withdrawal declaration. It does not create, revive, extend or enlarge any right of withdrawal, and it does not disapply any exception to the right of withdrawal validly established under Article 16 of Directive 2011/83/EU.

Accordingly, where you have given the express consent and the express acknowledgment recorded in Section 4, and confirmation has been provided on a durable medium in accordance with Section 4.5, a declaration submitted through the electronic withdrawal mechanism will be duly received, acknowledged and recorded — and will be determined to be ineffective to give rise to a refund, save to the extent of the residual pro-rata rules in Section 5.3 or of the statutory conformity remedies in Section 7.1.

8.4. Alternative channel. A withdrawal declaration may also be communicated by unambiguous statement sent to info@primecal.eu. Use of the model withdrawal form annexed to Directive 2011/83/EU is permitted but not mandatory. Section 8.3 applies equally to any such declaration.

8.5. Cancellation function. The Service additionally provides a straightforward electronic cancellation function for recurring Subscriptions (see Section 6), which is distinct from the withdrawal function and which is available at all times without restriction.

9. Preservation of Mandatory Consumer Rights

9.1. Nothing in this Refund Policy operates to exclude, restrict, waive or derogate from any right conferred upon a consumer by mandatory provisions of the law of the consumer's country of habitual residence from which no derogation is permitted by agreement.

9.2. In particular, and without limitation, this Refund Policy does not affect:

  • statutory conformity remedies for digital content and digital services under Directive (EU) 2019/770 and its national implementing legislation, or under the Consumer Rights Act 2015 in the United Kingdom;
  • any right of withdrawal that subsists because a condition in Section 4 has not been validly satisfied in your particular case;
  • rights arising under applicable payment services legislation or card scheme rules in respect of unauthorised or incorrectly executed transactions;
  • rights under the Australian Consumer Law, or under any other non-excludable consumer guarantee regime applicable to you; or
  • any liability that cannot lawfully be excluded, as set out in Section 14.7 of the Terms of Service.

9.3. Where a provision of this Refund Policy is held to be unenforceable against a particular consumer or in a particular jurisdiction, that provision shall be read down or severed to the minimum extent necessary, and the remainder of this Refund Policy shall continue in full force and effect, both as against that consumer and as against all other customers and in all other jurisdictions.

10. Chargebacks and Payment Disputes

10.1. Before initiating a chargeback, please contact us at info@primecal.eu and Paddle. The overwhelming majority of billing issues are resolved directly and considerably more quickly than through the chargeback process.

10.2. The initiation of a chargeback or payment reversal in respect of a service that has been supplied constitutes a material breach of the Terms of Service. Upon notification of a chargeback the Operator may, without notice and without liability:

  • immediately suspend or terminate the Account and all associated entitlements;
  • revoke all licences granted under Section 7 of the Terms of Service;
  • decline to provide the Service to you in future, on any plan; and
  • submit to Paddle, and through Paddle to the acquiring bank and card scheme, evidence of the supply of the Service, including access logs, usage records, the timestamped record of your consent and acknowledgment under Section 4, and the confirmation issued on a durable medium under Section 4.5.

10.3. Any sums recovered by chargeback in respect of a service validly supplied remain contractually due and payable, and the Operator reserves all rights, including the right to recover such sums together with any associated fees and costs.

10.4. Chargebacks raised by a business's own customers. Where a customer of a business that uses the Service raises a chargeback in respect of a booking, that dispute lies between that customer, that business and Stripe. Section 8.9 of the Terms of Service governs the allocation of the resulting fees and losses, and the Operator has no facility to contest such a dispute on the business's behalf.

11. How to Request a Refund

11.1. Step 1 — Contact us. Write to info@primecal.eu with the subject line "Refund Request", stating:

  • the email address associated with your Account;
  • the Paddle transaction, order or invoice reference;
  • the date and amount of the charge; and
  • a clear statement of the ground relied upon — either that the request falls within Paddle's fourteen (14) day refund guarantee under Section 3.4, in which case no further ground need be given, or, after that window, a ground under Section 7 of this Refund Policy — together with any supporting evidence.

11.2. Step 2 — Assessment. We will acknowledge your request within five (5) business days and give a substantive, reasoned response within fourteen (14) days of receipt of all information necessary to assess it. Where the request concerns an alleged lack of conformity under Section 7.1, we will investigate and, where a lack of conformity is established, first seek to bring the Service into conformity.

11.3. Step 3 — Execution. Where a refund is approved, it is executed by Paddle, to the original payment method, in the original currency. Processing times are determined by Paddle, your bank and the card scheme, and are typically five (5) to ten (10) business days, though they may be longer. The Operator has no control over, and gives no undertaking as to, refund processing times.

11.4. Currency and fees. Refunds are made in the original transaction currency. The Operator is not responsible for any loss arising from exchange-rate movement between the date of payment and the date of refund, nor for any bank, intermediary or card-issuer fee applied to the refund.

11.5. Effect of refund. Upon execution of a refund, the corresponding licence and all associated access, entitlements, credits and data are revoked with immediate effect, and the Operator may delete the associated Account and data in accordance with Section 15.4 of the Terms of Service.

12. Changes to This Refund Policy

12.1. The Operator may amend this Refund Policy at any time. The version in force at the moment of your purchase governs that purchase. Amendments are not applied retrospectively to purchases already made.

12.2. Material amendments will be notified in accordance with Section 22.1 of the Terms of Service.
